Prism Cuts Planned IPO By Half

OYO parent Prism has cut its planned IPO fresh issue to about ₹3,350 crore from about ₹6,650 crore. Skift reported the change on 22 October 2026 after Prism filed an addendum to its updated draft red herring prospectus. About ₹2,500 crore of the smaller raise is earmarked to repay or prepay borrowings through a Singapore subsidiary. That is down from about ₹4,980 crore of debt repayment planned earlier. Sources told Hindu BusinessLine the firm needs less primary capital because cash generation has improved.

An IPO is a first sale of shares to the public. A smaller primary raise means less new equity capital and less debt paid down from the offer. Moody’s and Fitch have moved their outlooks on Prism to positive. Moody’s said Prism posted positive free cash flow in fiscal 2026 for the first time, with EBITDA more than doubling to about ₹2,630 crore. After the G6 Hospitality deal, Motel 6 makes up nearly half of group gross booking value. This is Prism’s third attempt at a listing.

Our view is that Prism is reducing risk of a failed bookbuild, while existing lenders keep more of the debt on the balance sheet for longer. SoftBank and other shareholders gain if a smaller offer prices more cleanly. What coverage underplays is that residual debt must still be cleared from operating cash over two to three years. Indian tech-linked IPOs that shrink after a weak first filing have often listed later at a lower headline size. We expect Prism to keep the smaller size in the next filing and to open the offer within six months if markets stay open. Confidence: medium.

This is important for our readers because the capital plan for India’s largest budget lodging platform has changed. If you lend to or supply OYO franchise hotels, ask your account contact how the residual debt plan affects payment cycles. If you track hospitality listings, update your models to a ₹3,350 crore primary raise. If you hold SoftBank-linked exposure, watch the next prospectus addendum for the final use of proceeds.
