Advent Buys Remaining Hilton Stake
Advent Hotels International Limited’s board approved a share purchase agreement on 13 October 2026 to buy the remaining 25% of BD And P Hotels (India) Private Limited. Advent completed the purchase on 16 October 2026. The price for 70,89,775 equity shares is ₹40 crore in cash. BD And P Hotels is now a wholly owned subsidiary. The company owns and operates the Hilton Mumbai International Airport hotel.
Advent already held 75% of BD And P Hotels. The sellers are not related parties of Advent. BD And P Hotels reported turnover of about ₹102.37 crore for the year ended 31 March 2026. The SPA allows completion by 30 June 2027, but Advent filed that the shares transferred on 16 October. Full ownership gives Advent complete control of the Hilton airport hotel asset.
Our view is that Advent is tidying its holding structure so it can run the Hilton airport hotel without a minority partner. Minority sellers exit at a fixed ₹40 crore. Exchange filings give little colour on future capex or brand plans. Listed Indian hotel firms that buy out minorities in single-asset companies have usually kept the existing brand flag. We expect Advent to keep the Hilton flag for at least the next 12 months and to report the hotel as a wholly owned unit in its next results. Confidence: high.
This is important for our readers because the Hilton Mumbai International Airport hotel is now fully owned by Advent. If you hold Advent shares, update your subsidiary list and the ₹40 crore cash out. If you negotiate hotel contracts at that property, note the owner is now a single listed parent. If you track airport hotels, treat 16 October 2026 as the completion date.
